Crazy BIOS Beep Code Situation

Hi, I'm currently working on a Dell Dimension 8200 which is giving off
strange beep code sequences, as fallows: 5-1-2-3.
I know 5 is CPU, 1, 2, and 3 are memory. The memory has been replaced,
it worked for a little while, then rebooted itself and started all over
again with the beeps, won't go anywhere, I'm thinking it's the
motherboard, but being a Dell it's going to be a pain in the ass getting
another one and replacing it, and if it's not the problem I don't want
to waste the time/money on it, if anyone's had this problem or similar
I'd appreciate knowing what they did to correct it, if it was in fact
the mobo, or the cpu, or memory.
I've gone through all of Dell's available docs and for the memory it
says to 'reseat' it, which I've done 100 times (all work done using an
anti-static wristband & mat...), and I've exhausted google and all other
mediums, and now I'm checking on usenet. If anyone also knows another
group to post this in I'd appreciate it, I'm used to giving techsupport,
not seeking it, so I'm not sure where to find it on usenet.

It's a definite Memory read/write failure

8200 also has diagnostic code lights

lights can be yellow, green, or off as shown in the following table.

If the monitor cannot display errors or problems, during POST the
